By accessing our website, requesting quotes, or placing orders, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
2. Definitions

- “Client,” “you,” or “your” refers to the individual or business entity using our services
- “Products” refers to agricultural commodities offered for export
- “Services” refers to sourcing, processing, packaging, and export services provided by us
- “Order” refers to your purchase request for products
3. Use of Website
Eligibility: You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our website, you represent and warrant that you meet these requirements.
Permitted Use: You may use our website for lawful business purposes related to inquiring about, ordering, or purchasing agricultural products. You agree not to:
- Use the website for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the website

5. Quotations and Pricing
Quotations: Price quotations provided are valid for the period specified in the quote (typically 7–14 days unless otherwise stated). Quotations are not binding until we confirm your order in writing.
Pricing:
- All prices are quoted in the specified currency (USD, EUR, etc.)
- Prices are subject to change without notice until order confirmation
- Prices may be affected by market conditions, exchange rates, and availability
- Additional costs such as shipping, insurance, customs duties, and taxes are specified separately
6. Orders and Confirmation
Placing Orders: To place an order, you must submit a written purchase order or complete our order form. Orders are subject to acceptance and confirmation by us.
Order Confirmation: We will send you a written order confirmation specifying:
- Product details and quantities
- Pricing and payment terms
- Delivery schedule and shipping terms
- Any special conditions or requirements
Your order becomes binding only upon our written confirmation.

7. Payment Terms
Payment Methods: We accept payment via bank transfer, letter of credit (LC), or other mutually agreed methods.

8. Product Quality and Inspection
Quality Standards: All products meet international export standards and comply with applicable food safety regulations. We provide certificates of analysis, phytosanitary certificates, and other required documentation.
Pre-Shipment Inspection: Clients may arrange for independent pre-shipment inspection at their own expense. Inspection must be conducted within the agreed timeframe to avoid shipment delays.
Claims: Any quality claims must be submitted in writing within 7 days of product receipt, accompanied by photographic evidence and supporting documentation.
9. Shipping and Delivery
Shipping Terms: Shipping terms (FOB, CIF, CFR, etc.) will be specified in the order confirmation and follow Incoterms 2020 standards.
Delivery Schedule: We provide estimated delivery timelines based on product availability and shipping arrangements. While we strive to meet deadlines, delivery dates are estimates and not guarantees.
Shipping Delays: We are not liable for delays caused by:
- Customs clearance issues
- Port congestion or strikes
- Weather conditions or force majeure events
- Carrier or freight forwarder delays
- Documentation issues from client’s side
Risk Transfer: Risk transfers to the client according to the agreed Incoterms.
10. Force Majeure
We are not liable for failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, severe weather, or environmental events
- War, terrorism, civil unrest, or government actions
- Strikes, labor disputes, or transportation disruptions
- Pandemics, epidemics, or health emergencies
- Crop failures or production shortages
- Supplier failures or material shortages
In such events, we will notify you promptly and work to minimize impact.
11. Cancellation and Returns
Order Cancellation: Order cancellations must be requested in writing. We reserve the right to charge cancellation fees if production, processing, or procurement has already commenced.
Returns: Due to the perishable nature of agricultural products, returns are generally not accepted except in cases of:
- Documented quality defects upon arrival
- Incorrect products shipped
- Damage during transit (subject to insurance claims)
Return requests must be made within 7 days of receipt with supporting evidence.
12. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim shall not exceed the value of the specific order in question
- We are not liable for indirect, consequential, incidental, or punitive damages
- We are not liable for loss of profits, revenue, business, or opportunity
- Our liability is limited to product replacement or refund at our discretion
13. Intellectual Property
All website content, including text, images, logos, designs, and trademarks, is owned by JAMEK A. Ventures or licensed to us. You may not use, reproduce, or distribute our intellectual property without written permission.
14. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of our business relationship.

Dispute Resolution: Any disputes arising from these Terms or our business relationship shall be resolved through:
- Good faith negotiations between the parties
- Mediation, if negotiations fail
- Arbitration or legal proceedings in Nigerian courts, as a last resort
16. Amendments
Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.

These Terms, together with order confirmations and any additional agreements, constitute the entire agreement between you and JAMEK A. Ventures regarding the use of our services.
